What happened

Shares of Innoviva (NASDAQ:INVA), a biotechnology royalty company that develops respiratory therapeutics and is perhaps best known as GlaxoSmithKline’s (NYSE:GSK) development partner for its multiple next-generation COPD and asthma products, fell as much as 11% on Thursday. The reason behind Innoviva’s bad day can be traced to a proxy battle with activist hedge fund Sarissa Capital Management over seats on its board.

So what

According to a press release from Sarissa Capital on Wednesday evening (since Innoviva has thus far declined to comment), Innoviva had agreed to settle its proxy fight by allowing Sarissa two board seats. However, according to reports, Innoviva continued to lobby for votes from shareholders without disclosing the fact that a deal had been reached with Sarissa Capital. Sarissa sent over the signed paperwork to Innoviva on Wednesday afternoon agreeing to the settlement but was told by Innoviva that it would renege on its offer to place two of Sarissa’s choices on its board. When the smoke cleared, Innoviva had narrowly garnered enough votes to keep its own members on the board.

    Shares of Microchip Technology tumbled 7.5% to $61.23 today, while the S&P 500 declined 0.4% to 2,191.08. The SPDR S&P Semiconductor ETF (XSD) fell 4.8% to $52.29, while the VanEck Vectors Semiconductor ETF (SMH) dropped 4.8% to $67.68.

    Today’s slaughter comes two days after Microchip Technology narrowed its third-quarter guidance. Stifel’s Kevin Cassidy and team had the details:

    Microchip upwardly revised its December ending quarter…Non-GAAP EPS guidance was updated to $0.87 – $0.94 compared to $0.85 – $0.95 previously…The According to management, the upside is coming from better than expected integration of recent acquisitions. Management pointed out that significant gross margin improvements may be recognized as the inventory of higher cost products from the now closed Micrel fab is depleted. We have revised our revenue and non-GAAP earnings estimates and increased our 12-month target price to $70.

    Microchip Technology’s market capitalization fell to $13.2 billion from $14.3 billion yesterday. It report net income of $324 million on sales of $2.2 billion in fiscal 2016.

Both initial public offerings (IPOs) on last week’s calendar successfully reached the public market and combined to raise a total of about $180 million in new capital. But the IPO market has apparently hit the pause button for the final week of the first quarter, and no offerings are on tap until the first week of April.

Data analytics software maker Alteryx Inc. (NYSE: AYX) raised $126 million at a market cap of $847 million after pricing at $14 per share. The stock got a first-day pop of 11% following its Friday IPO.

Medical technology company Valeritas Holdings Inc. (NASDAQ: VLRX) did not fare as well. The insulin pump maker priced 5.3 million shares at $10, the midpoint of the expected range. The number of shares offered was 12% below the original plan to offer 6 million shares. The stock’s first-day return was a negative 29% and shares were off the IPO price by 33% at the end of the week.

Through the week ending March 24, IPO ETF manager Renaissance Capital reported that 25 IPOs have priced in the U.S. so far this year, up about 213% year over year. Total proceeds raised through last week equaled $9.9 billion. For 2016, Renaissance Capital reported a total of 105 IPOs, down 38% year over year from 170 in 2015. Total 2016 proceeds amounted to $18.8 billion compared with a 2015 total of $30 billion. Renaissance Capital does not include best efforts or blank-check companies in its totals, nor does it include IPOs that raise less than $10 million.

The stock market gave up ground on Tuesday, but investors saw major benchmarks recover from their worst levels of the day to finish down less than half a percent. Early in the day, poor earnings results from blue chip components of the Dow Jones Industrials weighed on market sentiment, and ongoing uncertainty about whether the Trump administration will be able to deliver on promised government reforms made some investors feel less confident about the future. However, several companies reported good news despite the dour mood on Wall Street, and GNC Holdings (NYSE:GNC), Stratasys (NASDAQ:SSYS), and Cabela’s (NYSE:CAB) were among the best performers on the day. Below, we’ll look more closely at these stocks to tell you why they did so well.

GNC eases shareholders’ concerns

Shares of GNC Holdings jumped 24% after the company posted first-quarter results that, while not perfect, were still not as bad as some investors had feared. Revenue fell 4% from year-ago levels, and same-store sales dropped 3.9% in company-owned locations and 4.6% in domestic franchise stores. Moreover, net income dropped by more than half, leaving the company with just $0.37 per share in adjusted earnings. Yet those numbers encouraged those who are patient enough to give GNC time to remake itself, and CEO Bob Moran pointed to the company’s One New GNC transformation strategy as having shown signs of early success. With new loyalty programs producing some positive effects on transaction counts and volume, GNC hopes that business metrics will hit bottom and start to grow again in the near future.

    First up is French oil service firm CGG Veritas (CGG)
    . The Eurozone-based energy stock hasn’t exactly posted blockbuster performance in 2013, but investors who ignore CGG for the final stretch of the year could be making a big mistake. That’s because of a bullish technical pattern that’s emerging in shares right now.

    CGG spent most of the last eight months looking anything but bullish. But an ascending triangle pattern is changing that. The pattern is formed by horizontal resistance to the upside at $26, and uptrending support to the below shares. Basically, as CGG bounces in between those two technical levels, it’s getting squeezed closer and closer to a breakout above $26. When that happens, traders have a buy signal.

    The ascending triangle pattern in CGG Veritas isn’t exactly textbook. That’s because the setup is forming at the bottom of a downtrend, rather than in the middle of an uptrend – but it’s a mistake to get caught up on the textbook pictures of what trading patterns are supposed to look like. On a move through $26, the trading implications are just as actionable.

After the wash of results we’ve had from U.S. banks over the last couple of weeks, I’ve had a couple of inquiries about U.S. Bancorp (NYSE:USB) that can be summarized as asking whether its valuation premium can be justified.

It’s an interesting question, but not because it calls for a weighing of qualitative issues to do with the business, but because U.S. Bancorp isn’t trading at a valuation premium.

Here is the stock vs a selection of U.S. Banks. This uses Bloomberg consensus and trailing data so as not to confuse the issue with my own forecasts. I’ve drawn a line across the table under Fifth Third as a demarcation of the market cap of these banks with those below being much smaller than the ones above the line.

    On November 5, Oracle (NYSE:ORCL)confirmed that it has finally completed the acquisition of Netsuite (NYSE:N) for $9.3 billion in cash, or $109 per share that the company had initially offered. In my previous article about Oracle, I had suggested that the acquisition of NetSuite, the cloud business application software company, is a smart move by Oracle.
