NEW YORK Stocks fellWednesday as the Dow dropped more than 100 points, putting more distance between the blue chipsand that elusive 20,000 mark.

Dow 20,000 has been in sight for several days now, with the index getting as close as a couple of dozen points from the milestone but never reaching it.

At the 4 p.m. ET close, the Dow stood0.6% lower for the day, off 111points and 166away from 20,000. Meanwhilethe Nasdaqsank 0.9% andthe S&P 500 lost0.8%.

The broad decline wiped out most of the gains from the day before, when the Nasdaq composite index closed at a record high.

Trading was quiet in a light week of economic and company news before the New Years Day holiday weekend.

Shares of luxury handbag maker Kate Spade (KATE) leaped 23.1%after news reports surfaced about a possible sale of the company.

You can request an extension from the Internal Revenue Service by either submitting an electronic payment of your estimated tax due, filing an electronic Form 4868 or filing a paper Form 4868. Mid-Afternoon Market Update: Vera Bradley Rises On Earnings Beat; Fred's Shares Plunge

Toward the end of trading Wednesday, the Dow traded up 0.01 percent to 24,182.48 while the NASDAQ declined 0.04 percent to 6,759.48. The S&P also fell, dropping 0.03 percent to 2,628.87.

Wednesday afternoon, the utilities sector proved to be a source of strength for the market. Leading the sector was strength from TransAlta Corporation (NYSE: TAC) and NextEra Energy Partners, LP (NYSE: NEP).

In trading on Wednesday, energy shares fell 1.1 percent.

Top Headline

American Eagle Outfitters (NYSE: AEO) reported downbeat earnings for its third quarter, but issued a strong earnings forecast for the current quarter.

American Eagle posted quarterly earnings of $0.37 per share on revenue of $960 million. However, analysts expected earnings of $0.38 per share on revenue of $960.8 million.

American Eagle expects Q4 earnings of $0.42 to $0.44 per share, versus analysts’ estimates of $0.39 per share.

Equities Trading UP

Madrigal Pharmaceuticals Inc (NASDAQ: MDGL) shares shot up 74 percent to $80.43 after the company disclosed that its MGL-3196 achieved primary endpoint in patients with biopsy-proven non-alcoholic steatohepatitis in Phase 2 clinical trial.

Shares of Vera Bradley, Inc. (NASDAQ: VRA) got a boost, shooting up 29 percent to $11.13 as the company posted better-than-expected Q3 earnings and raised its FY 2018 earnings guidance.

AeroVironment, Inc. (NASDAQ: AVAV) shares were also up, gaining 31 percent to $56.69 as the company reported stronger-than-expected earnings for its second quarter on Tuesday.

Equities Trading DOWN

Biocept Inc (NASDAQ: BIOC) shares dropped 34 percent to $0.76. Biocept priced its 4.93 million share offering at $0.68 per share.

Shares of Tronox Ltd (NYSE: TROX) were down 23 percent to $19.55. The FTC has challenged Tronox acquisition of Cristal’s titanium dioxide business. Tronox disclosed that it will fight FTC lawsuit seeking to block proposed acquisition of Saudi-owned Cristal.

Fred's, Inc. (NASDAQ: FRED) was down, falling around 21 percent to $4.07. Fred's reported downbeat Q3 results and cancelled its dividend.

Commodities

In commodity news, oil traded down 2.43 percent to $56.22 while gold traded up 0.14 percent to $1,266.70.

Silver traded down 0.49 percent Wednesday to $15.99, while copper rose 0.58 percent to $2.963.

Eurozone

European shares closed mostly lower today. The eurozone’s STOXX 600 fell 0.10 percent, the Spanish Ibex Index fell 0.27 percent, while Italy’s FTSE MIB Index dropped 0.49 percent. Meanwhile the German DAX slipped 0.38 percent, and the French CAC 40 dipped 0.02 percent while U.K. shares rose 0.28 percent.

Economics

Private-sector employers added 190,000 jobs for November, Automatic Data Processing Inc. reported. However, economists were expecting a gain of 185,000 private jobs.

U.S. nonfarm productivity rose 3 percent for the third quarter, versus economists’ expectations for a 3.3 percent growth. Unit labor costs declined 0.2 percent for the quarter.

Domestic crude supplies slipped 5.6 million barrels for the week ended December 1, the U.S. Energy Information Administration reported. Analysts expected a drop of 4.1 million barrels. Gasoline stockpiles gained 6.8 million barrels, while distillate stockpiles rose 1.7 million barrels for the week.

AQR Capital Management’s Cliff Asness has launched a healthy discussion about the trials and tribulations of factor timing with a new essay (“The Siren Song of Factor Timing”). He’s recommends that investors steer clear, which is good advice because the crowd’s record, in the aggregate, to successfully engage in market-timing activities generally is overwhelmingly poor. But Asness isn’t an absolutist. Instead, he notes that sometimes the perceived opportunities for engaging in a bit of timing are just too compelling to pass up.

“If you do decide to time factors, not something that I rule out entirely, and if timing is a ‘sin’, then you should ‘sin’ only a little,” Asness recently wrote on his firm’s web site. In the “Siren Song” paper, which is forthcoming in the Journal of Portfolio Management, he points to the extreme excesses of the tech bubble in 1999-2000 and the related decline and fall of the value factor as an example.

    Bioamber Inc (NYSE: BIOA) shares tumbled 23.6 percent to $2.40. BioAmber reported FY16 adjusted loss of $1.07 per share on revenue of $8.3 million.
    The Medicines Company (NASDAQ: MDCO) shares dipped 20.9 percent to $41.62.
    Innocoll Holdings PLC (NASDAQ: INNL) shares fell 20.3 percent to $1.49. Innocoll posted a narrower-than-expected quarter loss, but revenue missed estimates. Stifel Nicolaus downgraded Innocoll from Buy to Hold.
    Rosetta Genomics Ltd. (USA) (NASDAQ: ROSG) shares declined 20.3 percent to $3.83. On Thursday, Rosetta Genomics disclosed a 1-for-12 reverse stock split.
    Esperion Therapeutics Inc (NASDAQ: ESPR) shares dropped 19.9 percent to $23.76. Esperion Therapeutics shares have jumped 106.19 percent over the past 52 weeks, while the S&P 500 index has gained 16.70 percent in the same period.
    AmTrust Financial Services Inc (NASDAQ: AFSI) tumbled 18.3 percent to $17.65. AmTrust Financial disclosed that it will delay its annual report filing for the fiscal year ended December 31, 2016.
    Qualstar Corporation (NASDAQ: QBAK) slipped 17.7 percent to $6.85. Qualstar reported a Q4 loss of $0.20 per share on revenue of $2.2 milli

    Following a series of M&A announcements in the oilfield-services sector since the onset of the oil market downturn, French oil-field service company Technip and U.S. oilfield equipment company FMC Technologies (NYSE:FTI) hooked up in an all-stock deal valuing the combined company at $13 billion. Shareholders of each company will own 50% of the combined entity, to be named TechnipFMC, which implies a roughly $6.5 billion acquisition valuation for each entity. The transaction, which should close early next year, will “combine Technip’s innovative systems and solutions, state-of-the-art assets, engineering strengths, and project management capabilities with FMC Technologies’ leading technology, manufacturing, and service capabilities.” Further, it should save $400 million in annual costs by 2019. Moreover, it will enable the combined company to compete better against larger oil-field service rivals Baker Hughes (NYSE:BHI), Halliburton (NYSE:HAL), and Schlumberger (NYSE:SLB), which have all gained strength during the downturn either through M&A activities or cost savings initiatives.

    Among the year-end numbers, there isn’t that much that pops out as extraordinary. Halliburton ended 2016 with a $6.69 per-share loss. Much of that loss, though, was the $7.4 billion in charges related to asset impairments, goodwill writedowns, and the $4.06 billion it had to charge for the termination of the merger with Baker Hughes (NYSE:BHI). So when looking at the company’s year-end results, do keep in mind that those are heavily skewed by one-time items that probably won’t have much of a material impact on the business in the coming year. Looking at operational income, we see that international markets held up rather well throughout the year, while the North American market suffered.

    Since the moment it was announced, we’ve been highly bullish on the complicated-but-intriguing deal that would combine the oilfield services unit of General Electric Co. (NYSE: GE) and all of sector rival Baker Hughes Inc. (NYSE: BHI).

    The Oil and gas business represents a significant part of GE’s operations. Oil and gas segment revenues of $9.5 billion accounted for 10.5% of the company’s total revenues in the first nine months of 2016. In the same period in 2015, the segment’s revenues were much higher at $12.1 billion, 14.5% of GE’s total revenues for that period. In one of my previous articles about GE, I suggested that GE’s decision to combine its oil and gas business with one of the world’s leading oilfield services companies Baker Hughes (NYSE:BHI)is a smart move. Meanwhile, Brent crude oil price has climbed 20% from the beginning of 2016 to $55.45 per barrel, and WTI crude oil price has increased 17.5% to $52.37 per barrel in the same period. As such, the U.S. rig count has started to recover, and oil and gas producers have begun to increase their capital spending. According to Baker Hughes, the average U.S. rig count for December 2016 increased by 54 from the prior month to 634 rigs. This development will benefit GE in the current quarter and much more after the merger with Baker Hughes.

    In sum, the three companies are equally valued at generous multiples. It is difficult to choose one of them based on fundamentals or valuations, but we like the strategy of Nestl茅 and P&G more than Unilever. Therefore, we recommend investing in these companies only if someone is interested in a limited but relatively safe upside potential.
